Terms of use
These terms are an agreement between you and Annotate Ltd. ("Annotate", "we", "us"), Kremenetski St 2, Tel Aviv 6744320, Israel. They cover getannotate.dev, the Annotate API, the MCP server, and the Claude plugin (together, the "Service").
By using the Service, you agree to these terms. If you use it on behalf of a company or team, you agree on its behalf and confirm you're allowed to.
How we handle Personal Data is covered separately in the privacy policy and cookie settings.
The short version
- Your documents are yours. We host them only to run the Service.
- You're responsible for what you upload, convert, save, share, or sync. We don't review it, and we aren't responsible for it.
- Don't use Annotate for anything illegal, harmful, or abusive.
- Conversion is best-effort. Check what comes back before you rely on it.
- Paid plans are billed by Paddle. You can cancel any time. We don't offer refunds.
- The Service is provided as is. Our liability is limited to what you paid us in the last 12 months.
1. Using the Service
1.1 Who can use it
You can read a Markdown file without an account. To save, share, sync, or use the API, you need an account.
You must be old enough to form a binding contract where you live, or have a parent or guardian agree to these terms for you. Annotate is not directed at children under 13.
1.2 What we provide
We give you a limited, non-exclusive, non-transferable right to use the Service under these terms and the limits of your plan.
2. Your account
- Sign-in uses Google or a link sent to your email address. Keep access to that account or inbox secure — anyone with it can sign in as you.
- Give us an email address you control. We use it for sign-in links, invitations, and security notices.
- One person per account. Teams use workspaces, with a seat for each member.
- You're responsible for activity under your account and your API keys. If you think either is compromised, revoke the key and email security@getannotate.dev.
3. Your content
3.1 You own it
"Your content" means the files you upload or convert, the documents you save, and the highlights, comments, and notes you write. You keep all rights to it.
3.2 What you let us do with it
You give us a worldwide, non-exclusive, royalty-free license to host, store, convert, render, and transmit your content, only to run the Service for you and the people you share with. This license ends when you delete the content or your account, except for copies already in pull requests or saved by readers you shared with.
We don't use your content to train machine learning models, and we don't sell it.
3.3 You're responsible for it
You are solely responsible for your content and for keeping it safe. That includes:
- Having the right to upload, convert, store, and share it
- Making sure it doesn't contain anything illegal, infringing, or harmful to anyone
- Keeping secrets, credentials, and personal data about other people out of it unless you need them there
- Choosing who can open it, and revoking access when you no longer want them to
We don't review content, and we aren't responsible for it in any way — including content others share with you, comment on, or sync into your repositories.
3.4 No backups
Deleted documents are permanently removed. We don't keep backups. Export anything you want to keep as a .md file, or keep it in your repository.
3.5 Reporting content
If you find content on Annotate that is illegal or infringes your rights, email security@getannotate.dev with the link and the reason. We may remove it, and we may notify the owner.
4. Acceptable use
Don't use the Service to:
- Upload, store, or share content that is illegal, or that infringes copyright, trademark, privacy, or other rights
- Share material that sexually exploits children, promotes violence, or harasses, threatens, or defames anyone
- Distribute malware, phishing pages, or other harmful code
- Store or share other people's personal data without a lawful basis
- Gain unauthorized access to the Service, other accounts, or our providers' systems
- Probe, scan, or test our systems for vulnerabilities without permission — report findings to security@getannotate.dev instead
- Get around rate limits, storage limits, or plan limits, including by opening several free accounts
- Overload the Service, or run automated traffic beyond what the API allows
- Resell the Service, or build a competing product by copying it
- Break any law that applies to you or to us
5. Sharing, GitHub, and agents
5.1 Sharing
An unlisted link lets anyone who has it read and comment without an account. Treat it like a password. You're responsible for who you share it with, and for revoking it.
5.2 GitHub
When you install the Annotate GitHub App, you authorize us to read the repositories you select, and later, if you approve it, to open pull requests and issues in them. You're responsible for what you pull in and push back. Once a pull request is opened, it's governed by GitHub's terms and your repository's settings.
5.3 Agents
When an agent reads your documents over MCP, or receives your notes, what the agent does with them is between you and that agent's provider. Check agent output before you act on it.
6. API, MCP server, and Claude plugin
- Keep API keys (
mdvk_…) secret. Don't commit them to a repository or share them. - Requests are subject to rate limits and size limits. Files over 50 MB are rejected.
- The Claude plugin fails open: if conversion fails for any reason, the original file is read unchanged, with no error shown. Don't rely on the plugin to guarantee that a file was converted.
- Conversion drops layout, embedded charts, and slide graphics. Token savings vary by file. Check converted Markdown before you rely on it.
- We may change or retire API endpoints. We'll give at least 7 days' notice for breaking changes, unless a security issue requires faster action.
7. Plans, payment, and refunds
7.1 Plans
Plans, prices, and limits are listed on the pricing page. The Individuals plan is free. Paid plans renew automatically, monthly or annually, until you cancel.
7.2 Paddle
Paddle.com is our merchant of record. When you buy a plan, you buy it from Paddle, under the Paddle buyer terms. Paddle charges you, handles taxes, and issues invoices.
7.3 Cancelling
You can cancel at any time. Your plan stays active until the end of the period you paid for, then moves to the free plan.
If your content is over the free plan's 30 MB storage limit, you can still read and export it for 30 days, but you can't add more. After 30 days, content over the limit is permanently deleted. Export what you want to keep before then.
7.4 Refunds
We don't offer refunds. Payments are non-refundable, including for partial billing periods and unused storage, except where the law or the Paddle buyer terms require a refund.
7.5 Price changes
We'll email you at least 7 days before a price change applies to your plan. The new price takes effect at your next renewal.
8. Our software and brand
Annotate Ltd. owns the Service, including its software, design, and the Annotate name and logo. These terms don't give you any right to them except to use the Service.
The Claude plugin's source, including annotate-filter.py, is licensed under the Apache License 2.0. That license covers the plugin source only. It doesn't give you any right to the rest of the Service, the Annotate API, or the Annotate name and logo.
If you send us feedback or suggestions, we may use them without owing you anything.
9. Third-party services
The Service connects to products we don't run, including Google, GitHub, Paddle, Claude, and other MCP clients. Your use of them is governed by their own terms. We aren't responsible for them, their availability, or what they do with data you send them.
10. Disclaimers
The Service is provided "as is" and "as available". To the extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
We don't promise that:
- The Service will be uninterrupted, error-free, or secure from every threat
- Converted Markdown will be complete or accurate
- Annotations will keep their position after the source file changes. Offsets are stable only while the source file is unchanged.
11. Limitation of liability
To the extent the law allows:
- We aren't liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, data, or goodwill.
- We aren't liable for loss of content, including content you deleted, content lost in an outage, or content changed by an agent or a synced repository.
- Our total liability for any claim related to the Service is limited to the greater of what you paid us in the 12 months before the claim, or $100.
Some jurisdictions don't allow these limits. Where they don't, our liability is limited as far as the law permits.
12. Indemnity
You agree to defend and compensate Annotate Ltd. for claims, damages, and costs, including reasonable legal fees, that arise from your content, your use of the Service, or your breach of these terms.
13. Suspension and termination
13.1 By you
You can stop using the Service at any time, and delete your account from your settings.
13.2 By us
We may remove content, suspend, or close an account that breaks these terms, puts other users or the Service at risk, or where the law requires it. Where we can, we'll tell you why first and give you a chance to export your documents.
13.3 After termination
Your right to use the Service ends. Your content is deleted as described in the privacy policy. Sections 3.3, 8, 10, 11, 12, and 15 continue to apply.
14. Changes to the Service and these terms
We change the Service often. We may add, change, or remove features.
When we change these terms, we update the date at the top. For material changes, we'll email account holders at least 7 days before they take effect. If you keep using the Service after that, you accept the new terms. If you don't accept them, stop using the Service and delete your account.
15. Governing law and disputes
These terms are governed by the laws of the State of Israel, without regard to its conflict-of-law rules. Any dispute will be resolved exclusively in the competent courts of Tel Aviv-Yafo, Israel.
If you're a consumer in the EU or UK, you keep any mandatory protections of the law where you live, and you can bring a claim in your local courts.
16. General
- Entire agreement. These terms, the privacy policy, and the cookie settings page are the whole agreement between you and us about the Service.
- Severability. If a court finds part of these terms unenforceable, the rest stays in effect.
- No waiver. If we don't enforce a term right away, we can still enforce it later.
- Assignment. You can't transfer these terms without our written consent. We can transfer them as part of a merger, acquisition, or sale of assets.
- Force majeure. We aren't liable for delays or failures caused by events outside our reasonable control.
- Language. These terms are written in English. If a translation conflicts with the English version, the English version applies.
